1. Acceptance

By accessing or using northai.co, any North AI subdomain, API, or application (collectively, the "Service"), you ("you", "User", "Customer") agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not use the Service.

2. The Service

North AI provides AI-powered simulation, creator intelligence, content analysis, and related tools. Features may include connecting third-party accounts (Facebook, Instagram, TikTok, YouTube, Google), running simulations, generating outputs, and viewing analytics.

3. Accounts and eligibility

4. Connected platforms and OAuth

When you connect Facebook, Instagram, TikTok, YouTube, or Google to North AI, you authorize us to access data via the relevant API under the scopes you approve. You remain bound by each platform's terms:

You can revoke access at any time:

• Google/YouTube: https://myaccount.google.com/permissions

• Meta: Facebook Settings > Apps and Websites

• TikTok: TikTok Settings > Manage Apps

Revocation may disable features that depend on that connection.

5. Acceptable use

You will not:

• Reverse engineer, decompile, or attempt to extract source code except as permitted by law.

• Scrape, crawl, or harvest content in violation of any third-party platform's terms.

• Use the Service to generate content that is illegal, defamatory, infringing, deceptive, harassing, or that violates any person's rights.

• Use the Service to train competing foundation models.

• Circumvent rate limits, API quotas, or security controls.

• Upload malware, conduct security testing without written authorization, or attack the Service.

• Process special category data (GDPR Art. 9) or children's data without a lawful basis and prior written agreement with North AI.

6. Your content and licenses

6.1 Customer Content

"Customer Content" means data, content, or materials you upload, connect, or transmit to the Service, including data ingested from connected platforms under your authorization. You retain all rights to Customer Content.

6.2 License to North AI

You grant North AI a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Customer Content solely to provide, secure, and improve the Service for you, in accordance with the Privacy Policy.

6.3 Third-party platform content

Content ingested from Facebook, Instagram, TikTok, YouTube, or Google remains subject to the rights of the original rights holder and the terms of the source platform. You are responsible for ensuring you have rights to process that content via North AI.

6.4 Outputs

Subject to your compliance with these Terms, North AI assigns to you all rights it may have in Outputs generated specifically for you. Outputs are provided "as is"; similar or identical outputs may be generated for other users. You are responsible for reviewing Outputs before use, especially for accuracy, bias, and legal compliance.

7. Fees and billing

Free tiers and trials are provided at our discretion and may be modified or terminated at any time.

8. Intellectual property

North AI and its licensors own the Service, including all software, models, designs, and trademarks. These Terms grant no rights except the limited right to use the Service. Feedback you provide may be used by North AI without obligation to you.

9. Third-party services

The Service interoperates with third-party platforms and tools (including those listed in the Privacy Policy). We are not responsible for third-party services, their availability, or their terms. Your use of them is governed by their own agreements.

10. AI outputs and accuracy

AI-generated content may be inaccurate, incomplete, or offensive. North AI does not warrant that Outputs are accurate, fit for a particular purpose, or free from bias. Do not rely on Outputs as the sole basis for legal, medical, financial, or other consequential decisions without independent human review.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. Nothing in this Section limits statutory consumer rights that cannot be excluded under UK, EU, or applicable US state law.

12. Limitation of liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.

• Each party's total aggregate liability under these Terms will not exceed the greater of (a) fees paid by you to North AI in the 12 months before the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

13. Indemnification

You will defend and indemnify North AI against any third-party claim arising from (a) your Customer Content, (b) your misuse of the Service, (c) your violation of these Terms, or (d) your violation of any third-party platform's terms. North AI will defend and indemnify you against third-party claims that the unmodified Service infringes a valid UK, EU, or US patent, copyright, or trademark, subject to customary carve-outs.

14. Term and termination

These Terms apply while you use the Service. Either party may terminate for material breach uncured for 30 days. We may suspend or terminate immediately for security, legal, or acceptable-use violations. Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive termination (IP, disclaimers, limitations, indemnity, governing law).

15. Data protection

Processing of personal data is governed by the North AI Privacy Policy. For business customers processing personal data through the Service, our Data Processing Addendum (DPA) is incorporated by reference and available at [DPA URL].

16. Changes to the Terms

We may update these Terms. Material changes will be notified at least 15 days in advance by email or in-product notice. Continued use after the effective date constitutes acceptance.

17. Governing law and venue

Nothing in this Section deprives consumers of the protection of mandatory laws in their country of residence.

17.1 US arbitration and class waiver

For US users, any dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Rules, except that you may bring claims in small-claims court. You waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration clause by emailing legal@northai.co within 30 days of first accepting these Terms.

18. Export control and sanctions

You will not use the Service in violation of US, UK, or EU export control and sanctions laws. You represent you are not located in, and will not use the Service from, a restricted country or on behalf of a restricted party.

19. Miscellaneous

Entire agreement, severability, no waiver by delay, assignment only with consent except in a merger or sale of assets, force majeure, notices to legal@northai.co. These Terms are drafted in English; translations are for convenience.
